2. Eligibility

You must be at least 18 years old and have legal capacity to enter into these Terms.

If you use the Services on behalf of a company, organisation or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, “you” means both you and that entity.

3. What JoltMx Is, and What It Is Not

JoltMx is a specialist email forwarding and routing service.

The Services are designed primarily to receive email for secondary, auxiliary, vanity, alias or additional domains and route those messages onward into your Primary Mail Environment or another downstream destination selected by you.

The Services are not a full mailbox hosting suite, email client, groupware platform, archive, journaling service, compliance platform, continuity platform, or guaranteed-delivery platform.

You acknowledge that:

  • JoltMx may sit in the inbound mail path for domains configured to use our MX records;
  • the Services are best suited to forwarding, routing, filtering and related email-handling use cases;
  • the Services are not intended to replace your Primary Mail Environment; and
  • you remain responsible for maintaining an appropriate Primary Mail Environment and any backup, retention, compliance, continuity, supervision or alternative communication arrangements your use case requires.

4. Service Suitability

The Services are not designed, intended or warranted for use as the sole or primary means of receiving, routing, storing or evidencing communications that are business-critical, urgent or time-sensitive, safety-related, legally or regulatorily sensitive, or of a kind where delay, loss, non-delivery, misdelivery, corruption or unavailability could reasonably cause material financial, legal, operational or personal harm.

You are solely responsible for deciding whether the Services are suitable for your use case.

5. Your Account

You are responsible for:

  • keeping your credentials secure;
  • all activity under your Account;
  • keeping your contact and billing details accurate and up to date; and
  • notifying us promptly if you believe your Account has been compromised or accessed without authority.

You must not share or use Accounts in a way that bypasses plan limits, pricing, technical controls or fair usage expectations.

6. Your Responsibilities

You are solely responsible for:

  • owning, controlling or being authorised to use any domain connected to the Services;
  • your DNS, MX, SPF, DKIM, DMARC, forwarding, alias, catch-all, routing and reply-path configuration;
  • choosing, configuring and securing your Primary Mail Environment and any downstream destination;
  • mailbox security, endpoint security, user access control, webhook security and downstream system security;
  • backup, retention, supervision and compliance arrangements required for your use case;
  • the content, legality and destination of messages processed through your Account; and
  • determining whether the Services are appropriate for your use case, legal obligations and risk profile.

7. Acceptable Use

You must use the Services lawfully, responsibly and only for their intended purpose.

You must not use the Services to:

  • send spam or bulk unsolicited email;
  • operate mailing lists, bulk campaign infrastructure or unauthorised mass-forwarding arrangements unless we expressly allow it;
  • process phishing, malware, malicious payloads, deceptive content or impersonation traffic;
  • create disposable or deceptive aliases for fraud, abuse, account farming or evasion;
  • interfere with, overload, degrade or disrupt the Services or related infrastructure;
  • probe, bypass or disable rate limits, anti-abuse systems or security controls;
  • scrape, reverse engineer, decompile, disassemble, republish, resell or commercially exploit the Services except where the law does not allow that restriction;
  • infringe third-party rights;
  • violate any applicable law or regulation; or
  • encourage or assist anyone else to do any of the above.

8. Message Handling, Storage and Delivery

To operate the Services, JoltMx may receive, inspect, process, store temporarily, queue, retry, reject, quarantine, filter, route, forward, log or delete messages and related metadata in accordance with your settings, our systems and policies, abuse-prevention and security measures, and applicable law.

We do not guarantee that any message will be accepted, forwarded, delivered, stored, preserved, retried or retrievable.

9. Plans, Billing and Renewal

If you subscribe to a paid plan, you agree to pay all applicable fees and charges.

Unless we state otherwise:

  • fees are payable in advance;
  • subscriptions renew automatically for the same billing cycle;
  • cancellation takes effect at the end of the then-current paid period unless required otherwise by law.

Unless required by law, fees are non-refundable.

10. Consumer Cancellation Rights

This section applies only if you are a Consumer.

If you purchase the Services online, by phone or at a distance, you may have statutory cancellation rights. Nothing in these Terms removes those rights.

11. Taxes

Our fees are exclusive of VAT and any similar taxes unless we explicitly state otherwise. You are responsible for any taxes, duties or government charges arising from your purchase or use of the Services, except taxes on our own income.

14. Suspension and Termination

You may stop using the Services at any time. You may cancel your subscription through your Account or by contacting us.

We may suspend, restrict or terminate all or part of your access to the Services immediately if:

  • you breach these Terms;
  • we reasonably suspect abuse, fraud, unlawful conduct or a security risk;
  • your use causes or is likely to cause harm to us, other users or third parties;
  • we are required to do so by law, regulation, court order or competent authority; or
  • fees remain unpaid.

15. Data Protection and Privacy

Your use of the Services is also subject to our Privacy Policy.

16. Intellectual Property

17. Your Content and Feedback

You retain ownership of Content belonging to you.

You grant JoltMx a limited, non-exclusive, worldwide licence to host, copy, transmit, process and use that Content only as necessary to provide, secure, maintain and improve the Services.

18. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we exclude all implied warranties, conditions and representations, including any implied terms as to satisfactory quality, merchantability, fitness for a particular purpose, compatibility, uninterrupted availability, non-infringement, security or accuracy.

19. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of any rights that cannot lawfully be excluded or limited; or
  • any other liability that cannot lawfully be excluded or limited.

Subject to the non-excludable liabilities above, JoltMx’s total aggregate liability to you shall not exceed the greater of the total amount you paid us in the 12 months immediately before the event giving rise to the claim and £250.

20. Business User Indemnity

This section applies only if you are a Business User.

You will indemnify and keep indemnified JoltMx, Ninvoice Limited, and their officers, employees, contractors and agents against all losses, liabilities, damages, costs, claims and expenses arising out of or in connection with your use of the Services, your Content, your breach of these Terms, or your breach of law or third-party rights.

21. No Personal Liability

The obligations of JoltMx under these Terms are obligations solely of Ninvoice Limited. No director, officer, employee, shareholder, contractor, consultant or affiliate shall have any personal liability arising out of or in connection with the Services or these Terms, except to the extent such liability cannot lawfully be excluded.

22. Changes to the Services

We may add, remove, suspend, discontinue or modify any part of the Services at any time. Where a change materially reduces core paid functionality, we will aim to give reasonable notice unless the change is needed for security, legal, abuse-prevention or urgent operational reasons.

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

26. No Waiver

No failure or delay by either party in exercising any right or remedy under these Terms operates as a waiver of that or any other right or remedy.

27. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Services shall be governed by the law of England and Wales.
